ALRUD law firm acted as a leading legal adviser for the investor – a company, which is a part of the largest Russian financial conglomerate, in transactions on providing project, mezzanine and equity financing, providing bridge financing to Russian and foreign companies – leaders in real estate, retail, catering business, integrated security of private facilities and enterprises.
Some of the projects were complex cross-border transactions, including financial, security and corporate documentation, governed by Russian and foreign law (England, Italy, Cyprus, Germany). All work was performed within short timeframes by ALRUD team, led by Partner and Head of Corporate and M&A Practice Alexander Zharskiy and consisting of lawyers from Banking and Finance practice (Associates Ekaterina Boeva and Ekaterina Rogacheva, Attorney Kirill Mikhailov) and from Corporate and M&A Practice (Counsel Oleg Ezhov, Senior Attorneys Anna Kuznetsova and Alexander Shipilov, Attorney Irina Cherdintseva), and teams of foreign advisers, cooperating with ALRUD based on the ‘best friends’ principles.
ALRUD also advised the client on several financial and corporate reorganizations, including transactions on providing financing with the use of non-standard for the Russian market instruments for financial debt restructuring.
During completed transactions, ALRUD and foreign advisers’ teams prepared and participated in coordinating of all set of documents for the transactions, including financial, corporate, security and quasi-security documentation, conducted due diligence in relation to activities of Russian and foreign companies. Further, we also coordinated process of preparation for drawdowns (including, in particular, issuance of legal opinions in relation to obligors and CP confirmation letters, control over procedures of security registration in Russia and abroad).
